I understand that approved distributors must comply with all YAZIWORX distributor rules, policies, and procedures.

YAZIWORX Distributor Rules & Regulations

1. Distributor Status

Approved distributors are independent businesses and are not employees, agents, or partners of YAZIWORX or Assembled in America LLC. Distributor approval may be revoked at any time for violation of company policies, unethical conduct, nonpayment, or actions damaging to the YAZIWORX brand.

2. Territory

Unless otherwise agreed in writing, all distributor territories are non-exclusive. YAZIWORX reserves the right to appoint additional distributors, dealers, or sales representatives within any territory. Protected territories may be granted based upon sales performance, inventory commitments, and customer service standards.

3. Pricing & Advertising

Distributors must professionally represent the YAZIWORX brand and may not use deceptive advertising, misrepresent product specifications, publish false pricing, or damage the YAZIWORX brand reputation. YAZIWORX reserves the right to establish Minimum Advertised Pricing policies when applicable.

4. Payment Terms

All equipment orders are subject to current payment terms established by YAZIWORX and Assembled in America LLC. Typical payment terms may include deposits on special orders, balance due prior to shipment, wire transfer or ACH payment requirements, and late payment penalties. Failure to make timely payments may result in suspension or termination of distributor privileges.

5. Inventory Requirements

Distributors may be required to maintain minimum inventory levels, display equipment, replacement parts inventory, and adequate storage facilities. Inventory requirements may vary by distributor level and territory.

6. Customer Service & Technical Support

Distributors are expected to provide professional customer service and support, including trained personnel, reasonable response times, safe operating procedures, and proper service capabilities. Failure to provide adequate customer support may result in distributor review or termination.

7. Warranty Service

Warranty claims must be submitted according to current YAZIWORX warranty procedures. Unauthorized warranty repairs, fraudulent claims, or use of non-approved replacement parts may result in denial of warranty reimbursement and distributor termination. Distributors are responsible for maintaining records of warranty repairs and customer service documentation.

8. Product Modifications

Distributors may not modify equipment in a manner that violates safety standards, removes required labels, alters serial numbers, violates EPA or DOT regulations, or creates unsafe operating conditions. Any unauthorized modifications are solely the responsibility of the distributor.

9. Branding & Logo Use

Distributors may only use approved YAZIWORX logos, trademarks, product photos, and marketing materials. No unauthorized modifications to company branding are permitted. All advertising materials must professionally represent the YAZIWORX brand.

10. Online Sales & E-Commerce

Distributors engaging in online sales must maintain accurate product descriptions, represent equipment honestly, follow pricing policies, provide professional customer support, and maintain secure payment processing systems. YAZIWORX reserves the right to restrict online sales activity that damages the brand reputation.

11. Compliance With Laws

Distributors are responsible for compliance with all applicable federal, state, and local laws, including import regulations, sales tax regulations, EPA requirements, DOT requirements, and consumer protection laws.

12. Confidentiality

Distributor pricing, dealer discounts, supplier information, and internal business information are confidential. Distributors may not share confidential information with competitors or unauthorized parties.

13. Termination

YAZIWORX and Assembled in America LLC reserve the right to terminate distributor relationships at any time for nonpayment, fraud, brand damage, misrepresentation, poor customer service, failure to meet business standards, violation of policies, or illegal activities. Termination may result in immediate cancellation of distributor privileges.

14. Limitation of Liability

YAZIWORX and Assembled in America LLC shall not be liable for indirect, incidental, or consequential damages arising from distributor operations, equipment misuse, improper installation, unauthorized modifications, or customer misuse. Distributors are responsible for maintaining adequate insurance coverage for their operations.

15. Acceptance of Terms

By submitting this application, the Distributor acknowledges and agrees to comply with all YAZIWORX Distributor Rules & Regulations.
